2. Acceptance of Terms

By accessing or using the Services, you acknowledge that:

• You have read and understood these Terms
• You are at least 18 years old (or the age of majority in your jurisdiction)
• If accessing on behalf of an organization, you have authority to bind that organization
• You agree to comply with all applicable laws and regulations

These services are provided under separate written agreements such as Statements of Work (SOWs) or Master Service Agreements (MSAs) that include specific terms regarding:

• Detailed scope of work, deliverables, and success criteria
• Project timelines, milestones, and acceptance procedures
• Fees, payment terms, expenses, and change management
• Intellectual property ownership and licensing
• Confidentiality, data protection, and security requirements
• Warranties, representations, and liability limitations specific to the engagement

3.3 AI-Powered Products and Solutions

Our AI-powered cyber resilience products and technology solutions (currently in development and deployment) will be provided under separate product terms, licensing agreements, and service level agreements (SLAs) that address product-specific terms including usage rights, support, maintenance, and updates.

4. Acceptable Use

4.1 Permitted Use

You may use the Services for lawful business and professional purposes, including:

• Learning about our cybersecurity services
• Contacting us for service inquiries
• Accessing educational content and resources
• Receiving our newsletters and updates (with your consent)

4.2 Prohibited Use

You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or networks
• Transmit malware, viruses, or harmful code

For consulting engagements, intellectual property rights to deliverables will be addressed in the applicable SOW or MSA. Typically, we grant clients rights to use deliverables for their internal business purposes while retaining ownership of our underlying methodologies and tools.

7. Disclaimers

7.1 "As Is" Provision

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Guarantee

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. While we implement security measures, no online service is completely immune to security threats.

7.3 Information Only

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRISLAA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

Our total liability for any claims related to the Services shall not exceed €100 or the amount you paid to Trislaa in the 12 months preceding the claim, whichever is greater.

This limitation does not apply to liability that cannot be excluded under applicable law, such as liability for gross negligence, willful misconduct, or personal injury.

9. Indemnification

You agree to indemnify and hold harmless Trislaa, its contractors, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of applicable laws or third-party rights
• Content you submit through the Services

10. Professional Services Terms

When you engage our consulting services, additional terms will apply:

10.1 Engagement Agreements

Professional services are provided under SOWs or MSAs that include:

• Detailed scope of work and deliverables
• Fees, payment terms, and expenses
• Project timelines and milestones
• Intellectual property ownership
• Confidentiality obligations
• Specific warranties and liabilities

10.2 Precedence

In case of conflict between these Terms and a signed SOW/MSA, the SOW/MSA will take precedence for matters covered by that agreement.

11. Confidentiality

Both parties agree to:

• Keep confidential information secret
• Use confidential information only for the intended purpose
• Not disclose confidential information to third parties without consent
• Return or destroy confidential information upon request

For consulting engagements, we typically execute separate Non-Disclosure Agreements (NDAs) with more detailed confidentiality terms.

12. Term and Termination

12.1 Term

These Terms remain in effect while you access or use the Services.

12.2 Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or engage in harmful conduct.

12.3 Effect of Termination

Upon termination, you must cease using the Services and our intellectual property. Sections that by their nature should survive (disclaimers, limitations of liability, indemnification) will continue to apply.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of Finland, without regard to conflict of law principles.

13.2 Dispute Resolution

For any disputes arising from these Terms or the Services:

1. Informal Resolution: We encourage you to contact us first at contact@trislaa.com to try to resolve the matter amicably.
2. Jurisdiction: If informal resolution fails, disputes shall be resolved in the courts of Finland with jurisdiction over Trislaa's location.

13.3 EU Users

Nothing in these Terms affects your rights under EU consumer protection laws or your right to bring proceedings in the courts of your EU member state.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable SOW/MSA, constitute the entire agreement between you and Trislaa regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including acts of God, war, terrorism, pandemics, government actions, or network failures.

15. Changes to These Terms

We may update these Terms as our business evolves or regulations change. We will post updated Terms on our website with a revised "Last Updated" date.

For material changes, we will provide notice through our website or via email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
